VENUE PARTNERSHIP AGREEMENT — Zero-Commission Turf Booking Platform (Mumbai & Pune)
Working draft · final legal name and review pending. During the establishment phase the Platform collects no money from anyone — bookings and payments settle directly between player and venue; Section 6 takes effect only when online payments are switched on.
1. PARTIES & TERM. This Agreement is entered into between [Platform Legal Name — a Magic24x7 venture] ("the Platform") and the venue owner or operator identified in the onboarding form ("the Venue"). Initial Term: 12 (twelve) months from venue activation ("Free Term"). During the Free Term the Platform charges the Venue zero commission and zero listing fees. Renewal is subject to the Venue's service record under Section 4, on terms communicated no later than 30 days before expiry.
2. ZERO-COMMISSION COMMITMENT. The Platform will not deduct any commission, booking fee, or listing fee from the Venue's earnings during the Free Term. The Venue receives the full booking amount, less only the payment gateway processing fee (Section 6) — a pass-through cost charged by the payment processor and not retained by the Platform.
3. VENUE OBLIGATIONS. In exchange for zero-commission access to the Platform's player base, the Venue agrees to: honor every confirmed booking at the agreed slot, price and facility as listed; keep real-time slot availability accurate — no double-booking a Platform-confirmed slot; maintain the facility as represented in the listing (lighting, surface, amenities); honor a valid booking confirmation and QR ticket without additional payment unless previously disclosed; respond to booking-related disputes within 48 hours.
4. DEFINITION OF A DEFAULT. A "default" is any of: cancelling or refusing a confirmed booking with less than 4 hours' notice without valid, verifiable cause (e.g., waterlogging, power outage, safety hazard); double-booking a Platform-confirmed slot resulting in denial of service; denying entry or service to a member presenting a valid booking and QR ticket; materially misrepresenting the facility on more than one occasion. Valid cause requires contemporaneous evidence submitted within 24 hours via the dispute process in Section 7.
5. STRIKE SYSTEM & BLACKLISTING. Defaults are tracked on a rolling 6-month basis per venue. 1st default: automated warning, strike logged and visible to the venue owner. 2nd default within the window: temporary suspension — removed from new bookings for 14 days; existing confirmed bookings honored. 3rd default within the window: permanent blacklist — delisted immediately; re-application only after 12 months with formal review. Outstanding settlements for completed bookings remain payable per Section 6.
6. PAYMENT & SETTLEMENT. All player payments are processed through the Platform's payment gateway (Razorpay Route or equivalent split-payment infrastructure). The player pays the full listed amount at booking; funds are automatically split at the moment of payment — the Venue's share routes directly to the Venue's linked bank account; the Platform's default share is 0%. The only deduction is the gateway's processing fee (approximately 2% plus applicable taxes), charged by the processor, not the Platform. Settlement occurs on a T+1 cycle. Player-initiated refunds per the cancellation policy are processed through the same gateway and reconciled against the Venue's next settlement. The Venue must keep a valid settlement account current; delays caused by invalid banking details are not the Platform's responsibility.
7. DISPUTE & APPEAL. A Venue may appeal a logged strike within 5 business days with supporting evidence. Appeals are reviewed within 3 business days. The strike remains in effect pending review unless immediate reversal is warranted.
8. PLAYER PROTECTION. If a Venue default is confirmed in real time, the Platform will, at its discretion, issue an immediate full refund to the affected player and/or offer a credit or complimentary rebooking at an alternate verified venue. Amounts refunded due to a confirmed default may be recovered from the Venue's future settlements, subject to Section 7.
9. TERMINATION. Either party may terminate with 30 days' written notice. The Platform may terminate immediately upon a 3rd qualifying strike, or upon fraud, safety violations, or conduct endangering players.
10. ACCEPTANCE. By activating a venue listing on the Platform, the Venue confirms it has read, understood, and agrees to be bound by this Agreement.
